1. Who We Are

These Terms and Conditions (the “Terms”) govern your access to and use of the services provided by EchoDial LLC DBA QrCodeBuilder ("QrCodeBuilder", "we", "our", or "us").

2. Acceptance of Terms

By accessing or using QrCodeBuilder, you agree to be bound by these Terms and our Privacy Policy. If you are using the service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Eligibility

QrCodeBuilder is a business-to-business (B2B) service intended for business owners and professionals. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the service.

4. The Service

QrCodeBuilder provides tools to create, manage, and track QR codes, including dynamic destinations, basic analytics, branding, file uploads (e.g., logos, images, MP3s), and optional features like custom domains and team access depending on plan.

5. Accounts

  • You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
  • You agree to provide accurate information and to keep it up to date.
  • We may suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

6. Subscriptions, Billing, and Refunds

  • Plans renew on a 30-day cycle unless canceled.
  • Payments are processed exclusively via Authorize.net. By subscribing, you authorize us (through Authorize.net) to charge your payment method for recurring subscription fees and applicable taxes.
  • No refunds: All fees are non-refundable. If you cancel, your plan remains active until the end of the current 30-day billing cycle.
  • Failed payments may result in suspension or termination of service. We may attempt re-billing; if unsuccessful, we may downgrade or disable features until payment resumes.
  • We may change pricing with reasonable prior notice. Any price changes will take effect at the next billing cycle.
  • You are responsible for any taxes associated with your subscription, excluding taxes based on our net income.

7. Cancellations and Data Retention

  • You may cancel at any time from your account settings or by contacting support.
  • Upon cancellation, your QR codes and associated hosted content will remain accessible for 30 days; after 30 days, we will permanently delete hosted content related to your account (except data we must retain for legal or compliance purposes).
  • We may retain minimal account information and billing records as required by law (e.g., tax and accounting), typically for up to 7 years.

8. User Content and License

  • You retain ownership of all content you upload or create using the service (e.g., images, audio, text, business information).
  • You grant QrCodeBuilder a non-exclusive, worldwide, royalty-free license to host, reproduce, process, cache, and display your content as necessary to provide the service.
  • You represent and warrant that you have all rights necessary to upload and use the content, and that your content will not infringe intellectual property or privacy rights, or violate any laws.

9. Acceptable Use

You agree not to use the service to:

  • Violate any applicable laws or regulations;
  • Upload or distribute malware, phishing links, or other harmful content;
  • Infringe intellectual property or privacy rights;
  • Share illegal, hateful, harassing, pornographic, or violent content;
  • Circumvent security or access controls, or interfere with the service;
  • Misrepresent your identity or affiliation, or engage in deceptive practices.

10. Custom Domains

  • Certain plans allow you to use a custom domain. You are responsible for DNS configuration and demonstrating ownership.
  • You are solely responsible for content and activity served under your custom domain.
  • We may require verification (e.g., DNS TXT record, HTML file, or meta tag), and may disable custom domains that fail verification or violate these Terms.

11. Analytics and Privacy-Safe Tracking

We provide privacy-preserving analytics for QR scans. We use a rotating, time-window device hash derived from a truncated IP address (no full IP), a normalized user agent, and a secret salt. This reduces the ability to track individuals over long periods while still measuring unique visits.

12. Third-Party Services

  • Payments are processed by Authorize.net. We do not store full payment card information on our servers.
  • Email delivery is handled via SMTP (your email may be processed by our email provider for sending transactional emails).
  • We may integrate analytics services like Google Analytics.

13. Intellectual Property

The service, software, design, and documentation are owned by QrCodeBuilder and protected by intellectual property laws. These Terms do not grant any rights to our trademarks or brand features.

14. DMCA / Copyright

If you believe content on the service infringes your copyright, please contact admin@qrcodebuilder.pro with a detailed notice. We may remove or disable access to allegedly infringing content and, where appropriate, terminate repeat infringers.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL QRCODEBUILDER, ITS OWNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO QRCODEBUILDER FOR THE SERVICE DURING THAT PERIOD.

17. Indemnification

You agree to defend, indemnify, and hold harmless QrCodeBuilder and its owners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the service, your content, or your violation of these Terms.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflicts of laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Pasco County, Florida.

19. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or via the service). Changes become effective when posted unless otherwise specified.
